Terms & Conditions

In exchange for the opportunity to be part of the podcast media program currently titled Love Medals Podcast (“Program”), and for other consideration, the receipt and sufficiency is hereby acknowledged, the above named individual (“Guest”, “I”, “me” or “my”) agrees as follows:

1. I hereby grant Love Medals (“Podcaster”) the irrevocable right and permission to: (i) record, reproduce, photograph and otherwise exploit my name, sobriquet, photograph, likeness, voice, personal performance (in whole or in part), biography, information or comments about me, and any material that I provide or contribute in connection with the Program (the “Likeness”), and (ii) use the results and proceeds thereof including, without limitation, all video and audio recordings, photographs and/or film (together with the Likeness, collectively the “Materials and Recordings”) in any and all media and formats now known and hereafter devised, throughout the world, in perpetuity, in any manner, including in connection with the Program and the advertising, merchandising and publicity for the Program.

2. I hereby assign and transfer any and all rights, title and interest, including copyright, I may have in and to the Materials and Recordings to Podcaster. I further waive any and all “moral rights” in and to the Materials and Recordings for the benefit of Podcaster.

3. I acknowledge and agree that Podcaster is the sole owner of all rights in and to the Materials and Recordings and the Program, for all purposes; and that Podcaster has the unfettered exclusive right, among other things, to use, exploit and distribute the Program, the Materials and Recordings (including for certainty, Guest’s performance as embodied therein) throughout the world, in perpetuity.

4. Nothing contained in this Podcast Guest Release shall be construed to obligate Podcaster to use or exploit any of the rights granted or acquired by Podcaster, or to make, sell, license, distribute or otherwise exploit the Program or Materials and Recordings whatsoever.

5. I acknowledge and agree that I shall receive no monetary or financial compensation for appearances on and participation in the Program.

6. I represent and warrant that any statements made by me in the Material and Recordings will be true and will not violate or infringe upon any third party's rights (including without limitation, intellectual property rights or privacy rights).

7. I hereby release Podcaster from, and covenant not to sue Podcaster for, any claim or cause of action, whether known or unknown, based upon or relating to the use of the Material and Recordings or the exercise of any of the rights referred to herein or arising in connection with the Program. I agree to indemnify and hold harmless Podcaster from and against any liabilities, losses, claims, demands, costs (including without limitation attorneys' fees) and expenses arising in connection with any breach or alleged breach by me of any of the above representations, warranties, obligations or agreements hereunder.

8. I hereby release and discharge Podcaster from any and all liability arising out of or in connection with the making, producing, reproducing, processing, exhibiting, distributing, publishing, transmitting by any means or otherwise using the Materials and Recordings and the Program. I further agree not to assert any claim of any nature whatsoever against anyone relating to the exercise of the permissions I granted hereunder.

9. I acknowledge that, in the event of any breach by Podcaster, the damage, if any, caused to me thereby will not be irreparable or otherwise sufficient to entitle me to seek injunctive or other equitable relief and I will have neither the right to rescind or terminate this agreement or any of Podcaster’s rights hereunder, nor the right to enjoin the production, exhibition, or other exploitation of the Program.

10. I agree that this Podcast Guest Release: (i) shall be construed by and governed in accordance with the laws of the Province of British Columbia, and (ii) constitutes the entire understanding and agreement with respect to the subject matter hereof and cannot be amended except by a written instrument signed by me and the Podcaster. I further agree that Podcaster may freely assign its rights and obligations hereunder.
